These Terms of Service (“Terms”) form a binding agreement between StellDex Ecomsphere (OPC) Private Limited, a company incorporated under the laws of India and having its registered office in Kerala, India (“StellDex”, “we”, “us”, or “our”), and any person or entity (“you” or “your”) that accesses, browses, or purchases products or services through stelldex.com, stelldex.ae or any StellDex-operated website or sales channel (the “Site”).

By accessing the Site, creating an account, or placing an order, you confirm that you have read, understood, and agree to these Terms and to the Policies referenced below. If you do not agree to these Terms, do not use the Site.

1. Policies; Priority

The following policies are incorporated by reference and form part of these Terms: StellDex Privacy Policy, Shipping & Delivery Policy, and Returns & Refund Policy (collectively, the “Policies”). In the event of any conflict between these Terms and a Policy, these Terms will prevail unless the Policy expressly states otherwise.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to place an order. By placing an order you represent that you meet these eligibility requirements.

3. Orders; Acceptance

All orders placed on the Site are offers to purchase products or services subject to acceptance by StellDex. We may accept or reject any order in our sole discretion, including for reasons of product availability, pricing errors, inability to obtain authorization for payment, failure to provide required information, export or import restrictions, or non-compliance with these Terms. If we cancel an accepted order prior to dispatch, we will refund any payment received for that order.

4. Product Information

We make reasonable efforts to ensure that product descriptions, specifications, images, and prices on the Site are accurate. However, we do not warrant that product descriptions or other content are error-free, complete, or current. Products may be subject to manufacturer terms, restrictions, or warranties; any manufacturer warranty is between you and the manufacturer unless stated otherwise.

5. Pricing, Taxes & Charges

Prices displayed on the Site are in the currency indicated and exclude any applicable import duties, customs, VAT/GST, or other taxes and fees unless explicitly stated at checkout. StellDex may provide estimates of duties and taxes at checkout where available, but final assessments are determined by the destination customs authority. You are responsible for all duties, taxes, and fees payable on import unless StellDex has explicitly offered and confirmed DDP (Delivered Duty Paid) at checkout for a specific order.

6. Payment

StellDex accepts payment by the payment methods displayed on the Site. By providing payment information you represent and warrant that you are authorized to use the designated payment method and that you authorize us to charge your payment method for the total amount of your order (including applicable taxes, duties and fees). Payment authorization and settlement are subject to validation checks and approval by the payment processor and/or issuing bank.

7. Shipping, Title & Risk of Loss

All orders are fulfilled and dispatched from StellDex’s operations in India unless otherwise agreed in writing. Risk of loss and damage to products passes to you upon delivery to the carrier, except where local law provides otherwise. Title to goods transfers to you upon StellDex’s receipt of full payment, subject to any applicable reservation-of-title clause we include on invoice terms.

8. Returns, Refunds & Cancellations

Returns, refunds, cancellations and related procedures are governed by the Returns & Refund Policy. We may cancel or refuse any order at our discretion before dispatch; orders already dispatched may not be cancelled. Refunds will be processed in accordance with the Returns Policy and applicable payment network/RBI timelines.

9. Warranty & Disclaimers

To the extent permitted by law, StellDex provides no express warranties except as expressly set out for a product on the Site. Where a manufacturer’s warranty applies, StellDex will, where feasible, assist you in pursuing that warranty. EXCEPT AS REQUIRED BY APPLICABLE LAW, THE SITE AND ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND STELLDEX DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL STELLDEX, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE PRODUCTS OR SERVICES. STELLDEX’S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL BE LIMITED TO THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE DATE OF THE CLAIM. NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. Indemnification

You agree to indemnify, defend and hold harmless StellDex and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms or any Policy; (b) your violation of applicable law; (c) your use of the Site; or (d) your violation of any rights of a third party.

12. Intellectual Property

All content on the Site, including text, graphics, logos, images, designs, software, and other materials (“Content”) is the property of StellDex or its licensors and is protected by applicable intellectual property laws. You may view and download Content for your personal, non-commercial use only. You must not copy, reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any Content without StellDex’s prior written consent.

13. User Conduct & Prohibited Uses

You must not use the Site for any unlawful purpose or to transmit any material that violates applicable law or the rights of third parties. You must not interfere with the operation of the Site, attempt to gain unauthorized access to the Site’s systems, or otherwise interfere with other users’ enjoyment of the Site.

14. Privacy

Your use of the Site is subject to StellDex’s Privacy Policy, which describes how we collect, use and disclose personal information. By using the Site you consent to our collection and use of information in accordance with the Privacy Policy.

Complaints will be acknowledged within 48 hours of receipt and will be acted on and redressed within 30 days, or sooner where required by law. To raise a grievance, please email the Grievance Officer at the address above.

16. Modifications to the Site and Terms

StellDex may modify, suspend or discontinue the Site or any portion of it at any time without prior notice. StellDex may also modify these Terms from time to time. The “Last updated” date at the top of these Terms indicates when they were last revised. Your continued use of the Site after any change constitutes your acceptance of the modified Terms.

17. Third-Party Links & Services

The Site may contain links to third-party websites or services that are not owned or controlled by StellDex. StellDex is not responsible for the content or practices of third-party sites. Your interactions with third parties are solely between you and the third party.

18. Electronic Communications

By using the Site, you consent to receive electronic communications from StellDex (e.g., email or notices posted on the Site). These communications satisfy any legal requirement that such communications be in writing.

19. Severability; Waiver

If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions will remain in full force and effect. Any failure by StellDex to enforce a right or provision will not constitute a waiver of such right or provision.

20. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to mandatory consumer protection provisions, the courts located in Kerala, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms.
